Terms of Use
Our terms of use for using the Practical Prompting Academy.
Last updated: March 30, 2026
By accessing or using the Practical Prompting Academy, you agree to be bound by these Terms of Use. If you do not agree, please do not use the Service.
1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the Practical Prompting Academy website at practicalprompting.ai, including all courses, articles, resources, certificates, and related services (collectively, the “Service”), operated by Neovation Learning Solutions, a division of Neovation Corporation (“Neovation,” “we,” “us,” or “our”).
These Terms constitute a legally binding agreement between you (“you” or “User”) and Neovation. Please read them carefully.
2. Eligibility
You must be at least 13 years of age to use the Service. By creating an account or using the Service, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agrees to these Terms on your behalf.
3. Account Registration
To access certain features of the Service, including courses and certificates, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information (including your name, email address, company, and role).
- Keep your login credentials confidential and secure.
- Notify us promptly of any unauthorized use of your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or in violation of these Terms.
4. Use of the Service
4.1 Permitted Use
The Service is provided for your individual educational and professional development use. You may access courses, complete quizzes, earn certificates, read articles, and download resources made available through the Service for your own learning — whether for personal growth or in connection with your work. What is not permitted is redistributing, republishing, or repurposing the content itself (see Section 4.2 and Section 5).
4.2 Prohibited Use
You agree not to:
- Copy, reproduce, distribute, republish, display, or transmit any content from the Service, in whole or in part, without our prior written consent.
- Use the Service or its content to create competing courses, training materials, or educational products.
- Upload, embed, or otherwise incorporate any course content into any learning management system (LMS), content management system, or other platform without a separate written license agreement from Neovation.
- Share your account credentials with others or allow others to access the Service through your account.
- Use automated tools, bots, scrapers, or similar technologies to access, extract, or index content from the Service.
- Attempt to circumvent, disable, or interfere with any security or access-control features of the Service.
- Use the Service in any way that violates applicable local, national, or international law or regulation.
- Misrepresent your identity or affiliation when registering for or using the Service.
4.3 Organizational Licensing
If you wish to distribute, republish, or make available any Practical Prompting Academy content within your organization, learning management system, or to third parties, you must obtain a separate license agreement from Neovation. Please contact us at hello@neovation.com for licensing inquiries.
5. Intellectual Property
5.1 Ownership
All content available through the Service — including but not limited to course materials, lesson text, quizzes, articles, videos, images, graphics, templates, cheat sheets, resource guides, and the design and layout of the website — is the property of Neovation Corporation or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
The Practical Prompting Academy name, logo, and related branding are trademarks of Neovation Corporation. You may not use them without our prior written consent.
5.2 Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content for your own individual educational and professional development purposes. This license does not include the right to:
- Reproduce or redistribute course content in any format.
- Create derivative works based on course content.
- Use course content for commercial training, consulting, or resale purposes.
This license terminates automatically if you violate any of these Terms.
6. Certificates
Upon successful completion of a course, you may receive a digital certificate of completion. Certificates are issued at our discretion and are intended to acknowledge your individual completion of the course. Certificates are non-transferable and represent completion of the course as delivered at the time of issuance.
We reserve the right to revoke a certificate if we determine that the course was not completed in good faith (e.g., through automated means or fraudulent activity).
7. Availability and Modifications
We strive to keep the Service available and up to date, but we reserve the right to:
- Modify, update, or discontinue any course, article, resource, or feature at any time without prior notice.
- Suspend or restrict access to the Service for maintenance, security, or operational reasons.
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We are not liable for any loss or inconvenience resulting from unavailability or changes to the Service.
8. Disclaimers
8.1 “As Is” Basis
The Service and all content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Neovation disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
8.2 Educational Content
The courses, articles, and resources provided through the Service are for general educational and informational purposes only. They do not constitute professional advice. The field of artificial intelligence evolves rapidly, and content may not reflect the most current developments at all times. You are responsible for evaluating and applying the information in your own context.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Neovation, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising out of or in connection with your use of or inability to use the Service, regardless of the theory of liability.
In no event shall Neovation’s total aggregate liability to you for all claims arising from or relating to the Service exceed one Canadian dollar (CAD $1.00).
10. Indemnification
You agree to indemnify, defend, and hold harmless Neovation, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
11. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by Neovation. We are not responsible for the content, privacy practices, or availability of any third-party sites. Your use of third-party sites is at your own risk and subject to those sites’ own terms and policies.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use the Service ceases immediately.
- Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.
You may delete your account at any time by contacting us at hello@neovation.com.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of competent jurisdiction located in Winnipeg, Manitoba, Canada. You consent to the personal jurisdiction of such courts.
14. Changes to These Terms
We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date above. Where appropriate, we may also notify you by email.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neovation with respect to the Service and supersede all prior agreements, understandings, or representations.
